Agreement to these terms
These Terms of Service form an agreement between you and Veracity Digital Media, an Arizona business operating Vendor Lodge (“Vendor Lodge,” “we,” “us,” or “our”). By creating an account, purchasing a product, starting a subscription, or using the service, you agree to these Terms and our Privacy Policy and Refund and Cancellation Policy.
You must be at least 18 years old and able to enter a binding agreement. If you use Vendor Lodge for a business or organization, you represent that you have authority to bind it to these Terms.
Accounts
You are responsible for accurate account information, safeguarding your credentials, and activity performed through your account. Notify us promptly if you suspect unauthorized access. We may suspend access when reasonably necessary to protect users, investigate misuse, or enforce these Terms.
Demand Kits and Social Frames
Demand Kit
A Demand Kit is a one-time, customized digital purchase for one donated item and event. The contents and current price are shown before checkout. Generation begins after payment, and the finished materials are delivered electronically through your account. Each Demand Kit includes the original text generation and two text updates for that same item and event. Photo and frame changes do not use a text update. A materially different donated item or event requires a separate Demand Kit purchase.
Social Frames
Social Frames is a recurring monthly subscription. The price and billing frequency shown at checkout apply until you cancel. Your payment method is charged automatically each billing period. You may cancel online through Manage Subscription. Cancellation stops future renewals, and access ordinarily continues through the end of the current paid billing period.
Prices and taxes
Prices are displayed before purchase and may change for future purchases or renewal periods. Applicable taxes may be added at checkout. A price change will not alter a completed one-time purchase. Any subscription-price change will be communicated as required by law.
Your materials and responsibilities
You retain ownership of photos, logos, trademarks, text, and other materials you submit. You grant Vendor Lodge and its service providers a limited, non-exclusive license to host, copy, process, modify, and display those materials only as reasonably necessary to provide, secure, support, and improve the service.
You represent that:
- You own or have permission to use and process every material you submit.
- Your item, promotion, auction, and business information is accurate and lawful.
- Your use will not violate privacy, publicity, copyright, trademark, contract, or other rights.
- You will review every output before publishing, sending, or relying on it.
Generated content
Vendor Lodge uses automated and artificial-intelligence-assisted systems to create draft copy and other outputs. Generated content can contain errors, omissions, or unsuitable language. It is not legal, tax, safety, hunting-regulation, licensing, or professional advice. You are responsible for checking dates, locations, package details, legal requirements, claims, and all other facts before using an output.
Because similar inputs can produce similar outputs, generated content may not be unique. We do not guarantee that an output is eligible for intellectual-property protection or free from every third-party claim.
Acceptable use
You may not use Vendor Lodge to:
- Break a law, promote an unlawful transaction, or misrepresent an item or event.
- Upload malicious code or content that infringes or violates another person’s rights.
- Probe, bypass, disrupt, or overload security, billing, access, or technical controls.
- Resell access, scrape the service, or reverse engineer it except where law expressly permits.
- Impersonate another person or falsely suggest sponsorship, endorsement, or affiliation.
Vendor Lodge intellectual property
The service, software, site design, original templates, frame library, trademarks, and related materials are owned by Vendor Lodge or its licensors. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to use purchased outputs for your own business, item promotion, and event promotion. This does not transfer ownership of the underlying service, software, or reusable template system.
Availability and changes
We may update, improve, replace, suspend, or discontinue features. We do not promise uninterrupted or error-free operation. We will use reasonable efforts to preserve paid access and saved work, but you should download and retain copies of important completed materials.
Disclaimers and limitation of liability
To the fullest extent permitted by law, Vendor Lodge is provided “as is” and “as available,” without warranties of merchantability, fitness for a particular purpose, non-infringement, or that the service will produce a particular fundraising, bidding, marketing, or business result.
To the fullest extent permitted by law, Veracity Digital Media and its owners, employees, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, data, goodwill, or opportunities. Our total liability arising from the service will not exceed the greater of $100 or the amount you paid to Vendor Lodge during the 12 months before the event giving rise to the claim.
Some jurisdictions do not allow particular exclusions or limitations. In those places, these provisions apply only to the maximum extent permitted by law.
Indemnification
To the extent permitted by law, you will defend and indemnify Veracity Digital Media against third-party claims, damages, and reasonable costs arising from your submitted materials, your published outputs, your item or event, your violation of these Terms, or your violation of another person’s rights.
Termination
You may stop using the service at any time and may cancel a subscription through the online management page. We may suspend or terminate access for material violations, unlawful activity, security risk, nonpayment, or abuse. Provisions that by their nature should survive termination, including ownership, payment obligations, disclaimers, liability limits, and dispute provisions, will survive.
Governing law and disputes
These Terms are governed by Arizona law, without regard to conflict-of-law principles. Any dispute not resolved informally will be brought in the state or federal courts located in Maricopa County, Arizona, and each party consents to those courts’ jurisdiction. Nothing here limits rights that cannot lawfully be waived under applicable consumer law.
Changes and contact
We may update these Terms. Material changes will be communicated when required, and the date above will be revised. If you do not agree to updated Terms, stop using the service and cancel any active subscription before its next renewal.
